DTB supports Entain in the largest acquisition of all times in Croatia and wider region

After obtaining all regulatory approvals, Entain Plc., a global sports-betting, gaming and interactive entertainment group, completed the takeover of SuperSport Group, the leading Croatian gaming and sportsbook operator with a 54% market share.

This transaction is the largest all-time deal in the CEE region, by the value of the consideration of approximately €920 million and its implications exceeding not just Croatia, but also the entire CEE region.

The acquisition was made through partnership with EMMA Capital, a leading investment firm based in the Czech Republic. The established new venture (“Entain CEE”), in which Entain owns 75% of the economic rights, is expected to drive further expansion in the highly attractive Central and Eastern European market.

The CEE market has so far been mostly led by local operators often struggling to scale or consolidate across the region, thus giving Entain a compelling opportunity to demonstrate its industry leading capabilities.

Divjak, Topić, Bahtijarević & Krka acted as the Croatian legal counsel and provided legal advice on M&A, finance and regulatory matters of this historic transaction. The team was led by senior partner Damir Topić (Corporate/M&A), with an overall support from teams across related practice areas – managing partner Emir Bahtijarevic (Real Estate), partner Ema Menđušić Škugor, PhD (Corporate), attorneys Olena Manuilenko (IP), Jasna Belčić (Employment), Andrej Zmikic (Employment), Dina Salapić (Corporate/M&A), Dominik Glavina (Corporate/M&A), Sanja Novoselić (Real Estate), Ana-Maria Sunko Perić (Regulatory), Iva Vukoja (Corporate), and associates Lorena Mičik (Finance) and Jure Marović (Real Estate).
