BSA Advises Tecnostamp on Industrial Park Renegotiation
Buju Stanciu & Asociații (BSA) assisted Tecnostamp in the negotiation and finalization of a new contractual framework regarding the lease of production premises and the provision of services related to its activities carried out within an industrial park in Romania.
The mandate concerned the simultaneous renegotiation of the contractual arrangements applicable to the premises leased by Tecnostamp, as well as the services provided by the park administrator in relation to the entire industrial platform used by the company, which includes both leased premises and assets owned or otherwise used directly by Tecnostamp.
The negotiations, conducted over several months, required the alignment of different legal and commercial interests and the identification of a solution capable of providing Tecnostamp with long-term predictability, without affecting the continuity of its industrial operations and the investments already made within the industrial park.
The BSA team also assisted Tecnostamp in analysing the mechanism for determining and allocating the costs of the services managed at industrial park level, the relevant areas used for their calculation, and the conditions under which the applicable tariffs could be adjusted in the future.
“In industrial projects, the legal solution must take into account the operational reality. In this case, the fact that we were able to analyse simultaneously the real estate component, the legal framework governing industrial parks and the commercial implications of each available option allowed us to keep the negotiations focused on achieving a practical outcome,” said Dumitru Lazăr, Partner at Buju Stanciu & Asociații.
Ultimately, the agreed solution establishes a contractual framework that enables the relationship to continue in the long term, in accordance with the agreed renewal mechanisms.
